ART. 1 Definitionsالتعريفات

• "Swaseena" — the operator and sole owner of the Digital City infrastructure, registered in the Kingdom of Saudi Arabia."سواسينا" — المشغّل والمالك الوحيد لبنية تحتية المدينة الرقمية، مسجلة في المملكة العربية السعودية.
• "The Digital City" — the sovereign civilizational infrastructure comprising seven themed continents, operated exclusively by Swaseena."المدينة الرقمية" — البنية التحتية الحضارية السيادية المكونة من سبع قارات موضوعاتية، مُشغَّلة حصرياً من سواسينا.
• "Tenant" — any government, institution, company, or entity that holds a valid subscription contract for a City within the Digital City."المشترك" — أي حكومة أو مؤسسة أو شركة أو كيان يحمل عقد اشتراك ساري لمدينة داخل المدينة الرقمية.
• "City" — a dedicated sovereign digital environment allocated exclusively to a Tenant within a specific Continent."المدينة" — بيئة رقمية سيادية مخصصة حصرياً لمشترك داخل قطاع محددة.
• "Contract Period" — the agreed subscription duration: 6 months, 1 year, 2 years, 3 years, or 5 years."مدة العقد" — مدة الاشتراك المتفق عليها: ٦ أشهر، سنة، سنتان، ٣ سنوات، أو ٥ سنوات.
• "Digital Agents" — optional service modules that can be added to a City under a separate agent contract."الوكلاء الرقميون" — وحدات خدمة اختيارية يمكن إضافتها لمدينة بموجب عقد وكيل منفصل.

ART. 2 The Subscription Model — No Subscriptionنموذج الاشتراك — لا تملك

The Tenant receives an exclusive right of use of a City for the Contract Period only. This right is personal, non-transferable, and non-sublicensable without Swaseena's prior written approval.يحصل المشترك على حق استخدام حصري لمدينة طوال مدة العقد فقط. هذا الحق شخصي وغير قابل للتحويل والترخيص من الباطن بدون موافقة سواسينا الكتابية المسبقة.

Upon expiry or termination of the contract, the City is deactivated immediately. All configurations, data, and content associated with the City that have not been exported by the Tenant prior to expiry are subject to deletion after a 30-day grace period.عند انتهاء العقد أو إنهائه، تُطفأ المدينة فوراً. جميع الإعدادات والبيانات والمحتوى المرتبط بالمدينة والتي لم يُصدّرها المشترك قبل الانتهاء تخضع للحذف بعد فترة سماح ٣٠ يوماً.

ART. 3 Contract Durations & Pricingمدد العقود والتسعير

Pricing varies by contract duration and city tier. The following rates apply to the City tier (other tiers are scaled proportionally):يختلف التسعير حسب مدة العقد ومستوى المدينة. تُطبَّق الأسعار التالية على مستوى المدينة (المستويات الأخرى محسوبة بنفس النسب):

• Explorer · 6 months: $7,000/month — no agent discountاستكشافي · ٦ أشهر: $7,000/شهر — بدون خصم وكلاء
• Resident · 1 year: $5,800/month — 15% agent discountمقيم · سنة: $5,800/شهر — خصم وكلاء ١٥٪
• Citizen · 2 years: $4,500/month — 30% agent discountمواطن · سنتان: $4,500/شهر — خصم وكلاء ٣٠٪
• Sovereign · 3 years: $3,200/month — 50% agent discountسيادي · ٣ سنوات: $3,200/شهر — خصم وكلاء ٥٠٪
• Foundation · 5 years: $2,200/month — 65% agent discountتأسيسي · ٥ سنوات: $2,200/شهر — خصم وكلاء ٦٥٪

Prices are fixed for the contracted duration. Renewal prices are subject to the prevailing rates at time of renewal. Swaseena reserves the right to adjust pricing with 90 days' notice prior to any renewal.الأسعار ثابتة طوال مدة العقد المتعاقد عليها. أسعار التجديد خاضعة للأسعار السائدة وقت التجديد. تحتفظ سواسينا بحق تعديل الأسعار مع إشعار ٩٠ يوماً قبل أي تجديد.

ART. 4 Payments & Invoicingالمدفوعات والفواتير

Payments are processed monthly in advance via the approved payment gateway. All amounts are in USD. Local currency equivalents may be offered subject to applicable exchange rates.تُعالَج المدفوعات شهرياً مقدماً عبر بوابة الدفع المعتمدة. جميع المبالغ بالدولار الأمريكي. يمكن تقديم معادلات بالعملة المحلية وفق أسعار الصرف المعمول بها.

Failure to pay within 7 days of the due date results in a service warning. Failure to pay within 14 days results in City suspension. Failure to pay within 30 days results in City deactivation and contract termination.الإخفاق في الدفع خلال ٧ أيام من تاريخ الاستحقاق يُفضي إلى تحذير خدمة. الإخفاق خلال ١٤ يوماً يُفضي إلى تعليق المدينة. الإخفاق خلال ٣٠ يوماً يُفضي إلى إطفاء المدينة وإنهاء العقد.

ART. 5 Digital Agentsالوكلاء الرقميون

Digital Agents are optional additions to a City. They operate under a separate agent contract and are billed independently. Agent discounts are applied based on the Tenant's active city contract duration as specified in Article 3.الوكلاء الرقميون إضافات اختيارية للمدينة. يعملون بموجب عقد وكيل منفصل ويُفوتَّرون بشكل مستقل. تُطبَّق خصومات الوكلاء بناءً على مدة عقد مدينة المشترك الساري كما هو محدد في المادة ٣.

Agent discounts are linked to the active city contract. Early termination of the city contract voids any remaining agent discount entitlements for the remainder of the period.خصومات الوكلاء مرتبطة بعقد المدينة الساري. الإنهاء المبكر لعقد المدينة يُلغي أي استحقاقات خصم وكيل متبقية لبقية المدة.

ART. 6 Tenant Obligationsالتزامات المشترك

• Maintain timely payments as per the contract schedule.الالتزام بالمدفوعات في مواعيدها وفق جدول العقد.
• Use the City exclusively for lawful purposes consistent with the declared use at registration.استخدام المدينة حصرياً لأغراض مشروعة متوافقة مع الاستخدام المُعلن عند التسجيل.
• Maintain the confidentiality of all access credentials. Swaseena is not liable for breaches resulting from credential mismanagement by the Tenant.الحفاظ على سرية جميع بيانات الوصول. سواسينا غير مسؤولة عن الاختراقات الناتجة عن سوء إدارة بيانات الاعتماد من قِبل المشترك.
• Not attempt to reverse-engineer, replicate, or circumvent any part of the Digital City infrastructure.عدم محاولة عكس هندسة أو تكرار أو التحايل على أي جزء من بنية تحتية المدينة الرقمية.
• Export any data or content prior to contract expiry if retention is required.تصدير أي بيانات أو محتوى قبل انتهاء العقد إذا كان الاحتفاظ بها مطلوباً.

ART. 7 Prohibited Usesالاستخدامات المحظورة

• Using the City to distribute, promote, or facilitate any illegal activity under Saudi law or international law.استخدام المدينة لتوزيع أو ترويج أو تسهيل أي نشاط غير مشروع بموجب القانون السعودي أو القانون الدولي.
• Publishing, transmitting, or enabling content related to: weapons, drugs, terrorism, extremism, child exploitation, explicit sexual material, or incitement to hatred.نشر أو إرسال أو تمكين محتوى متعلق بـ: الأسلحة، المخدرات، الإرهاب، التطرف، استغلال الأطفال، المواد الجنسية الصريحة، أو التحريض على الكراهية.
• Attempting to access, interfere with, or damage any other Tenant's City or any shared infrastructure component.محاولة الوصول إلى أو التدخل في أو إتلاف مدينة أي مشترك آخر أو أي مكوّن من مكونات البنية التحتية المشتركة.
• Reselling, sublicensing, or transferring the City or any part thereof to a third party without Swaseena's written approval.إعادة بيع أو ترخيص من الباطن أو تحويل المدينة أو أي جزء منها لطرف ثالث بدون موافقة سواسينا الكتابية.
• Using automated means to scrape, copy, or replicate the Digital City's structure, design, or content.استخدام وسائل آلية لجمع بيانات أو نسخ أو تكرار بنية المدينة الرقمية أو تصميمه أو محتواه.

ART. 8 Termination & Expiryالإنهاء والانتهاء

By Swaseena: Swaseena may terminate a contract immediately for material breach (including prohibited use), non-payment beyond 30 days, or legal order. In cases of Swaseena's fault, a pro-rated refund for the unused period is issued.من سواسينا: يحق لسواسينا إنهاء العقد فوراً في حالة الإخلال الجوهري (بما يشمل الاستخدام المحظور)، أو التخلف عن الدفع لأكثر من ٣٠ يوماً، أو بأمر قانوني. في حالات خطأ سواسينا، يُرد مبلغ يتناسب مع الفترة غير المستخدمة.

By Tenant: Early termination by the Tenant does not entitle the Tenant to a refund of any prepaid amounts. The City deactivates at the end of the current billing cycle.من المشترك: الإنهاء المبكر من قِبل المشترك لا يخوّله استرداد أي مبالغ مدفوعة مسبقاً. تُطفأ المدينة في نهاية دورة الفوترة الحالية.

On Expiry: The City is deactivated at 00:00 UTC on the day following contract expiry. A 30-day data retention grace period applies before permanent deletion.عند الانتهاء: تُطفأ المدينة في ٠٠:٠٠ UTC في اليوم التالي لانتهاء العقد. تُطبَّق فترة سماح ٣٠ يوماً للاحتفاظ بالبيانات قبل الحذف الدائم.

ART. 9 Liability & Warrantiesالمسؤولية والضمانات

Swaseena warrants 99.5% monthly uptime for City availability. Credits are issued for downtime exceeding this threshold at a rate of 10% of the monthly fee per additional hour of downtime.تضمن سواسينا ٩٩.٥٪ وقت تشغيل شهري لتوافر المدينة. تُمنح اعتمادات للتعطل الذي يتجاوز هذا الحد بمعدل ١٠٪ من الرسوم الشهرية لكل ساعة إضافية من التعطل.

Swaseena is not liable for: indirect or consequential damages; loss of revenue or data arising from City deactivation after contract expiry; or force majeure events including regulatory orders, infrastructure failures, or natural disasters.سواسينا غير مسؤولة عن: الأضرار غير المباشرة أو التبعية؛ خسارة الإيرادات أو البيانات الناتجة عن إطفاء المدينة بعد انتهاء العقد؛ أو أحداث القوة القاهرة بما يشمل الأوامر التنظيمية أو أعطال البنية التحتية أو الكوارث الطبيعية.

The maximum aggregate liability of Swaseena under any contract is limited to the total fees paid by the Tenant in the 3 months preceding the claim.الحد الأقصى للمسؤولية الإجمالية لسواسينا بموجب أي عقد محدود بإجمالي الرسوم المدفوعة من المشترك في الأشهر الثلاثة السابقة للمطالبة.

ART. 10 Privacy Policyسياسة الخصوصية

Data We Collect: Organisation name, authorised contact details, contract details, and usage metrics for the City (call counts, activity logs). We do not collect personal data of end-users within your City — that data is yours.البيانات التي نجمعها: اسم المؤسسة، تفاصيل جهة الاتصال المخوّلة، تفاصيل العقد، ومقاييس استخدام المدينة (أعداد الاستخدام، سجلات النشاط). لا نجمع البيانات الشخصية للمستخدمين النهائيين داخل مدينتك — تلك البيانات ملك لك.

Data Sovereignty: City data is stored within your assigned continent's infrastructure. Data is not shared with other continents or third parties, except where required by Saudi law or valid legal order.سيادة البيانات: بيانات المدينة مخزَّنة داخل بنية تحتية قارتك المخصصة. لا تُشارَك البيانات مع قارات أخرى أو أطراف ثالثة، إلا حيث يقتضي ذلك القانون السعودي أو أمر قانوني صالح.

Reservation Data: When you submit a reservation request, we collect the information provided in the form (name, email, organisation, country, selected continent and contract type). This data is used solely to process your request and establish the contract.بيانات الحجز: عند تقديم طلب الحجز، نجمع المعلومات المقدمة في النموذج (الاسم، البريد الإلكتروني، المؤسسة، الدولة، القطاع المختارة ونوع العقد). تُستخدم هذه البيانات فقط لمعالجة طلبك وإبرام العقد.

Data Retention: Contract and billing records are retained for 7 years as required by Saudi commercial regulations. City operational data is deleted 30 days after contract expiry unless a renewal is in progress.الاحتفاظ بالبيانات: تُحتفظ بسجلات العقود والفوترة لمدة ٧ سنوات وفقاً لما تستلزمه اللوائح التجارية السعودية. تُحذف البيانات التشغيلية للمدينة بعد ٣٠ يوماً من انتهاء العقد ما لم يكن التجديد جارياً.

Your Rights: You may request access to, correction of, or deletion of your organisation's data by contacting us at the address below. Requests are processed within 30 days.حقوقك: يمكنك طلب الوصول إلى بيانات مؤسستك أو تصحيحها أو حذفها بالتواصل معنا على العنوان أدناه. تُعالَج الطلبات خلال ٣٠ يوماً.

ART. 11 Governing Law & Disputesالقانون الحاكم وتسوية النزاعات

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising under or in connection with these Terms shall first be referred to good-faith negotiation. If unresolved within 60 days, disputes shall be submitted to the competent courts of the Kingdom of Saudi Arabia.تخضع هذه الشروط لقوانين المملكة العربية السعودية. يُحال أي نزاع ينشأ بموجب هذه الشروط أو فيما يتعلق بها أولاً إلى التفاوض بحسن نية. في حال عدم الحل خلال ٦٠ يوماً، تُحال النزاعات إلى المحاكم المختصة في المملكة العربية السعودية.
